Agreement to these Terms

Welcome to Pawstack. These Terms of Use ("Terms") govern your access to and use of the Pawstack website, web application, public booking pages, software, and related services that link to these Terms (collectively, the "Services").

In these Terms, "Groomer" means a business or user that creates or manages a Pawstack workspace or public booking page, and "Customer" means a person who uses the Services to book with, communicate with, or manage profile or pet details for a Groomer.

These Terms form a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Pawstack ("Pawstack", "we", "us", or "our"). By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

Supplemental terms or policies posted on the Services are incorporated into these Terms by reference. We may update these Terms from time to time by changing the "Last updated" date above. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.

The Services are intended for users who are at least 18 years old. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

1. Our Services

Pawstack provides booking and administration software for pet grooming businesses. The Services may include groomer workspaces, public booking pages, service menus, add-ons, customer profiles, pet profiles, pet notes and photos, appointment scheduling, availability management, booking confirmations, subscription billing tools, and related features.

Pawstack is a software provider. We do not provide pet grooming, animal care, veterinary, transport, payment collection for grooming appointments, or other services offered by groomers through the Services. Groomers are solely responsible for the grooming services they provide, their prices, availability, customer communications, cancellation policies, refunds for grooming services, professional obligations, animal welfare obligations, and compliance with laws that apply to their business.

Customers who book through a groomer's public booking page understand that the appointment and grooming service relationship is between the Customer and the relevant Groomer, not Pawstack.

2. Intellectual Property Rights

Our intellectual property

We are the owner or licensee of intellectual property rights in the Services, including software, source code, databases, functionality, website designs, text, graphics, interface elements, trademarks, service marks, logos, and other materials made available through the Services (collectively, the "Content" and "Marks").

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. Groomer users may use the Services to manage their pet grooming business. Customer users may use the Services to book appointments and manage their customer and pet details with participating groomers.

Except as expressly permitted by these Terms, you must not copy, reproduce, modify, translate, sell, license, distribute, publicly display, or otherwise exploit any part of the Services, Content, or Marks without our prior written permission.

Your submissions

If you send us questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree that we may use those Submissions for any lawful purpose without restriction, acknowledgement, or compensation to you.

3. User Representations

By using the Services, you represent and warrant that:

  • all registration information you submit is true, accurate, current, and complete;
  • you will maintain the accuracy of your account and business information;
  • you have the legal capacity and authority to agree to these Terms;
  • you will not access the Services through automated or non-human means except as expressly authorised by us;
  • you will not use the Services for any illegal or unauthorised purpose; and
  • your use of the Services will comply with all applicable laws and regulations.

If information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.

4. User Registration and Accounts

You may be required to register an account to use some Services. You agree to keep your login details confidential and are responsible for activity that occurs through your account, including activity by anyone you permit to access your account or workspace.

We may remove, reclaim, or change a username, business name, public booking URL, or display name if we determine that it is inappropriate, misleading, unlawful, infringing, or otherwise objectionable.

5. Groomer Workspaces and Public Booking Pages

Groomers are responsible for the accuracy and lawfulness of all information published or managed through their Pawstack workspace, including business names, addresses, contact details, logos, descriptions, service menus, prices, durations, add-ons, availability, customer notes, pet records, and appointment details.

Groomers must only enter, upload, or manage customer and pet information where they have the rights, permissions, and legal basis to do so. Groomers are responsible for how they use customer and pet information accessed through Pawstack outside the Services.

Pawstack may hide, restrict, or suspend a public booking page if the associated workspace is inactive, unpaid, in breach of these Terms, or otherwise unavailable.

6. Bookings and Customer Relationships

The Services help Customers request or create appointments with Groomers. Booking confirmations, appointment times, prices, durations, and service details are based on information configured by the relevant Groomer and may be changed by the Groomer.

Unless we expressly state otherwise, Pawstack does not process payments between Customers and Groomers for grooming appointments. Any fees, deposits, refunds, cancellations, no-show charges, disputes, or service issues relating to a grooming appointment are between the Customer and the relevant Groomer.

Pawstack is not responsible for the quality, safety, legality, availability, or outcome of any grooming services, pet handling, pet health decision, customer attendance, or communication between Customers and Groomers.

7. User Content and Licence

The Services allow you to create, upload, store, display, and manage content and data, including business profile information, service menus, logos, customer profiles, contact details, pet profiles, pet photos, pet notes, appointment records, booking confirmations, and related information ("User Content").

You retain ownership of your User Content. By submitting User Content to the Services, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, back up, reproduce, process, transmit, display, and modify the User Content solely as necessary to provide, maintain, secure, support, and improve the Services.

You are solely responsible for your User Content. You represent and warrant that you have all rights and permissions necessary to submit the User Content and grant the licence above, and that your User Content does not violate any third-party rights, privacy rights, animal welfare obligations, or applicable law.

We may remove, restrict, or disable access to User Content if we believe it violates these Terms, infringes rights, creates risk for the Services or other users, or is required by law.

8. Paid Subscriptions and Billing

Pawstack may offer paid subscriptions for Groomer workspaces. Subscription checkout, payment processing, invoices, payment method storage, and billing portal access are provided through Stripe or another third-party payment provider.

Pawstack may offer a 14-day free trial. Unless otherwise stated, access to paid workspace features may be limited, suspended, or disabled when a trial ends, payment fails, a subscription is cancelled, or a subscription becomes inactive.

Subscription fees may be offered on a monthly or annual basis and may be charged in AUD, USD, or another currency depending on your location, plan, and checkout settings. Subscriptions renew automatically unless cancelled before the renewal date through the billing portal or another cancellation method we make available.

Prices, plans, features, and trial offers may change from time to time. Except where required by law, subscription fees are non-refundable and we do not provide refunds or credits for partial subscription periods, unused features, or unused time.

9. Prohibited Activities

You may not access or use the Services for any purpose other than their intended purpose. You agree not to:

  • systematically retrieve data or content from the Services to create or compile a database or directory without our written permission;
  • trick, defraud, mislead, harass, abuse, intimidate, or harm us, our personnel, Groomers, Customers, or any other person;
  • circumvent, disable, or interfere with security-related features of the Services;
  • upload or transmit viruses, malware, harmful code, or material that disrupts the Services;
  • use bots, scripts, scraping tools, data mining tools, or similar automated systems without our written permission;
  • attempt to impersonate another person, business, Groomer, Customer, or Pawstack representative;
  • copy, adapt, decompile, disassemble, reverse engineer, or attempt to derive the source code of the Services except as permitted by law;
  • use the Services to build, support, or improve a competing product or service;
  • use the Services in a way that violates privacy, consumer protection, spam, animal welfare, intellectual property, or other laws; or
  • interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services.

10. Third-Party Services and Content

The Services may use, integrate with, or link to third-party services or content, including payment processors, hosting providers, authentication services, maps or places services, analytics tools, Mailgun for email delivery, and websites operated by third parties.

We are not responsible for third-party services or content, and your use of them may be governed by separate terms and policies. If you make a purchase or provide information through a third-party service, you do so at your own risk and subject to that third party's terms.

11. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms, take appropriate action against anyone who violates these Terms or the law, restrict or disable access to User Content, remove excessive or burdensome files or data, and otherwise manage the Services to protect our rights, users, systems, and the proper functioning of the Services.

12. Privacy Policy

Please review our Privacy Policy. By using the Services, you acknowledge that we collect, use, disclose, and protect personal information as described in our Privacy Policy.

13. Copyright Infringements

We respect intellectual property rights. If you believe material available through the Services infringes copyright you own or control, please contact us using the details below and include enough information for us to assess the claim. You may be liable for damages if you make a material misrepresentation in a notice.

14. Term and Termination

These Terms remain in effect while you use the Services. We may suspend, restrict, or terminate your access to the Services at any time and without liability if we believe you have breached these Terms, your account creates risk, your subscription is unpaid or inactive, we are required to do so by law, or continued access would harm the Services or other users.

You may stop using the Services at any time. You may also contact us to request account or workspace deletion, subject to identity verification, legal retention obligations, legitimate business records, backup retention, and the rights of other users connected to the same records.

If your account is terminated or suspended, you must not create a new account to avoid the termination or suspension without our written permission.

15. Modifications and Interruptions

We may change, modify, suspend, discontinue, or remove parts of the Services at any time. We do not guarantee that the Services will be available at all times or free from delays, errors, outages, bugs, data loss, or security incidents.

We may perform maintenance or experience hardware, software, provider, network, or security issues that result in interruptions. To the fullest extent permitted by law, we are not liable for loss, damage, or inconvenience caused by your inability to access or use the Services during downtime, suspension, or discontinuance.

16. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and applicable Commonwealth laws of Australia, without regard to conflict of law principles. Subject to any rights that cannot be excluded, you and Pawstack submit to the exclusive jurisdiction of the courts located in New South Wales, Australia, and courts entitled to hear appeals from those courts.

17. Dispute Resolution

Before starting court proceedings, each party agrees to first try to resolve any dispute, controversy, or claim relating to these Terms or the Services by giving written notice to the other party and engaging in good-faith informal negotiations for at least thirty (30) days.

This informal negotiation process does not prevent either party from seeking urgent injunctive or equitable relief, enforcing intellectual property rights, responding to unauthorised access, theft, privacy, or security issues, or taking steps where delay would cause harm.

18. Corrections

The Services may contain typographical errors, inaccuracies, omissions, or outdated information, including service descriptions, pricing, availability, and feature information. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

19. Disclaimer

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, express or implied, in connection with the Services and your use of them, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that booking information, availability, pricing, customer records, pet records, reminders, public booking pages, or other content will be accurate, complete, current, uninterrupted, secure, or error-free. We do not provide veterinary, animal health, legal, accounting, tax, or professional business advice.

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law.

20. Limitations of Liability

To the fullest extent permitted by law, Pawstack and our officers, employees, contractors, agents, and suppliers will not be liable to you or any third party for indirect, consequential, exemplary, incidental, special, punitive, or similar damages, including lost profit, lost revenue, lost opportunity, business interruption, loss of goodwill, loss of data, or costs of substitute services, arising from or relating to your use of the Services.

To the fullest extent permitted by law, our total liability to you for all claims arising from or relating to the Services or these Terms is limited to the amount paid by you to Pawstack for the Services during the six (6) months before the event giving rise to the claim, or AUD $100 if you have not paid us any amount.

21. Indemnification

You agree to defend, indemnify, and hold harmless Pawstack and our officers, employees, contractors, agents, suppliers, and affiliates from and against any loss, damage, liability, claim, demand, cost, or expense, including reasonable legal fees, arising out of or relating to your User Content, your use of the Services, your breach of these Terms, your violation of law, your violation of another person's rights, or any grooming service, customer relationship, appointment, animal care issue, or business activity managed through your account.

22. User Data

We maintain certain data you transmit to the Services for the purpose of operating, securing, supporting, and improving the Services. Although we may perform routine backups or rely on provider backup systems, you are responsible for maintaining copies of information you need outside the Services.

To the fullest extent permitted by law, we are not liable for loss, corruption, unauthorised access, or inability to restore any data, except where caused by our breach of a non-excludable legal obligation.

23. Electronic Communications, Transactions, and Signatures

Visiting the Services, creating an account, completing online forms, using checkout, and sending us emails constitute electronic communications. You consent to receive electronic communications from us, and you agree that electronic notices, agreements, disclosures, records, and other communications satisfy any legal requirement that such communications be in writing.

You agree that Pawstack, Groomers using Pawstack, and our email delivery provider Mailgun may send transactional and service-related emails connected to the Services, including booking confirmations, appointment reminders, booking updates, cancellations, customer account messages, password reset emails, security notices, support replies, subscription notices, invoices, billing portal links, and other operational messages.

Groomers are responsible for ensuring they have the necessary rights, permissions, and lawful basis to send messages to Customers through Pawstack. Marketing or promotional emails must comply with applicable email and anti-spam laws, including any consent, sender identification, and unsubscribe requirements.

24. Miscellaneous

These Terms and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision is not a waiver. We may assign our rights and obligations under these Terms. You may not assign your rights or obligations without our written permission.

We are not responsible for delay or failure to act caused by events beyond our reasonable control. If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions. No joint venture, partnership, employment, agency, or franchise relationship is created by these Terms or your use of the Services.
